Spend Defense does not determine whether any seller, buyer, contractor, business, vehicle, property, product, or service is trustworthy, safe, compliant, authentic, or suitable.

No Verification

Spend Defense does not independently verify:

• ownership
• identity
• authenticity
• accuracy
• completeness
• legal status
• licensing
• service history
• maintenance history
• accident history
• title status
• regulatory compliance
• product condition

Information may be incomplete, inaccurate, outdated, altered, or fraudulent.

Artificial Intelligence Notice

Reports are generated using automated technologies, including artificial intelligence.

Artificial intelligence may produce incorrect, incomplete, inconsistent, or inaccurate results.

No report should be relied upon as the sole basis for any purchasing or financial decision.

User Responsibility

You remain solely responsible for:

Payments

All purchases are final except where required by applicable law.

Access to reports may be suspended or denied if payment cannot be successfully processed.

Limitation of Liability

To the fullest extent permitted by applicable law, Spend Defense LLC, its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Service.

To the maximum extent permitted by law, Spend Defense LLC's total liability shall not exceed the amount actually paid by the user for the specific report giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Spend Defense LLC, its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

• your use of the Service;
• your uploaded materials;
• your violation of these Terms; or
• your violation of applicable law or the rights of any third party.

Governing Law

These Terms shall be governed by the laws of the State of Arizona, without regard to conflict of law principles.

Any legal action arising out of these Terms shall be brought exclusively in the appropriate state or federal courts located in Arizona, unless applicable law requires otherwise.

User Content

You represent and warrant that you have the legal right to upload submitted materials, that your uploads do not violate applicable law, and that your uploads do not infringe intellectual property rights or violate contractual obligations.

You remain solely responsible for all uploaded content.

Privacy and Data Processing

By using the Service, you acknowledge that submitted materials may be processed using third-party technology providers for the purpose of generating reports.

Intellectual Property

The Service, including software, reports, branding, logos, design, workflows, analytical methods, and visibility scoring methodology, are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of Spend Defense intellectual property to users.

Service Availability

Spend Defense does not guarantee uninterrupted, secure, or error-free operation. We may modify, suspend, discontinue, or update the Service at any time without notice.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Spend Defense regarding the Service and supersede all prior agreements relating to the Service.
